  立足三大核心功能 推動治理體系和治理能力現代化

  常(chang)偉(wei)認(ren)為,董(dong)事(shi)(shi)會是(shi)證券(quan)公(gong)(gong)司的經(jing)營決策主(zhu)體(ti),發揮好(hao)董(dong)事(shi)(shi)會作(zuo)(zuo)用是(shi)服務證券(quan)公(gong)(gong)司高(gao)質量發展(zhan)大局、推動治理體(ti)系(xi)和治理能力(li)現(xian)代化的重(zhong)要方面(mian)(mian),其核心功能主(zhu)要表現(xian)在(zai)定戰略、作(zuo)(zuo)決策、防(fang)風險三個(ge)方面(mian)(mian)。

  完善六大關鍵機制 優化證券公司董事會治理體系

  “董(dong)(dong)事(shi)會治理(li)能力提升的問題,歸根(gen)到底是如何(he)在完善(shan)董(dong)(dong)事(shi)會管(guan)理(li)制(zhi)度的基(ji)礎上,強化董(dong)(dong)事(shi)會管(guan)理(li)機制(zhi),提高(gao)治理(li)效果(guo)。”常偉直言,立足高(gao)質量發展要求,未來應從相關(guan)關(guan)鍵機制(zhi)入手,完善(shan)證券公司董(dong)(dong)事(shi)會治理(li)體系,更好地發揮黨的領導和現代(dai)公司治理(li)雙重優(you)勢。

  他指(zhi)出,要(yao)著力(li)完(wan)善(shan)董事(shi)會決(jue)策(ce)機制(zhi)(zhi),引領證券(quan)公(gong)司(si)穩健發(fa)展。管理(li)決(jue)策(ce)的科學與(yu)否關(guan)系到證券(quan)公(gong)司(si)興衰(shuai)成敗,必須從決(jue)策(ce)層(ceng)面入(ru)手,完(wan)善(shan)相關(guan)機制(zhi)(zhi)。例如,建(jian)立重大(da)決(jue)策(ce)事(shi)項(xiang)和(he)流程(cheng)(cheng)清單(dan)(dan),通(tong)過清單(dan)(dan)進(jin)一(yi)步明(ming)確黨委、董事(shi)會、經理(li)層(ceng)等治(zhi)理(li)主(zhu)體的權(quan)(quan)責(ze)(ze)邊界,對有(you)關(guan)額度、標準等予以量化,并通(tong)過內部管理(li)制(zhi)(zhi)度進(jin)行固化,確保各(ge)(ge)個治(zhi)理(li)主(zhu)體之間權(quan)(quan)責(ze)(ze)透明(ming)、協調運轉。還(huan)要(yao)建(jian)立利(li)益回(hui)避(bi)機制(zhi)(zhi),董事(shi)會表決(jue)有(you)關(guan)關(guan)聯(lian)交易的議案時(shi),與(yu)交易方(fang)有(you)關(guan)聯(lian)關(guan)系的董事(shi)應當回(hui)避(bi),董事(shi)會決(jue)議須經無關(guan)聯(lian)關(guan)系董事(shi)過半數通(tong)過。五(wu)礦證券(quan)一(yi)直(zhi)致力(li)于構建(jian)各(ge)(ge)司(si)其職(zhi)、各(ge)(ge)負其責(ze)(ze)、協調運轉、有(you)效(xiao)制(zhi)(zhi)衡(heng)的公(gong)司(si)治(zhi)理(li)機制(zhi)(zhi),建(jian)立了(le)嚴格的審查和(he)決(jue)策(ce)程(cheng)(cheng)序、利(li)益回(hui)避(bi)機制(zhi)(zhi)。

  在常偉看來,還(huan)要(yao)著力完善(shan)董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)的(de)組(zu)織機制(zhi),促進(jin)核(he)心治理功能(neng)(neng)發(fa)揮。董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)要(yao)真正發(fa)揮定戰略、作決策、防風險的(de)核(he)心功能(neng)(neng),有效的(de)組(zu)織模(mo)式是重要(yao)基(ji)礎。堅持(chi)落實(shi)和(he)完善(shan)“雙向(xiang)進(jin)入、交叉任職(zhi)”領導體制(zhi),全面推(tui)行黨(dang)委書(shu)記(ji)、董(dong)(dong)事(shi)(shi)長由(you)一人(ren)擔任,符合條件的(de)黨(dang)委班子成(cheng)員可以通(tong)過法(fa)定程序進(jin)入董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui),確(que)(que)保董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)管理和(he)決策保持(chi)正確(que)(que)的(de)政治方向(xiang);構建合理的(de)分工(gong)(gong)機制(zhi),設立薪酬與提(ti)(ti)名委員會(hui)(hui)(hui)、審計(ji)委員會(hui)(hui)(hui)、風險控制(zhi)委員會(hui)(hui)(hui)等專業委員會(hui)(hui)(hui),明確(que)(que)為董(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)各(ge)專門(men)(men)委員會(hui)(hui)(hui)提(ti)(ti)供工(gong)(gong)作支(zhi)(zhi)持(chi)的(de)職(zhi)能(neng)(neng)部門(men)(men),支(zhi)(zhi)持(chi)專門(men)(men)委員會(hui)(hui)(hui)的(de)工(gong)(gong)作職(zhi)能(neng)(neng)發(fa)揮。

  “董事(shi)會決(jue)策(ce)(ce)完成后,相關工(gong)作能否落實(shi)到位,經(jing)營(ying)層的執行效(xiao)果(guo)是關鍵,要著力完善董事(shi)會對(dui)經(jing)營(ying)層的考核督辦機制,推動戰略(lve)任務(wu)和(he)重(zhong)大決(jue)策(ce)(ce)部(bu)署落實(shi)到位。”常偉表示,董事(shi)會應充(chong)分(fen)利用對(dui)經(jing)營(ying)層的考核和(he)督辦兩大抓手,促進目標(biao)任務(wu)達成和(he)決(jue)策(ce)(ce)部(bu)署實(shi)施。

  常偉(wei)表示,董(dong)(dong)事(shi)(shi)會的(de)(de)(de)決(jue)策權力(li)較大(da),必(bi)須通過不同利益主體之(zhi)間(jian)的(de)(de)(de)制(zhi)(zhi)約形成有效制(zhi)(zhi)衡(heng)(heng),讓(rang)權力(li)得到合(he)理(li)運用(yong)。要(yao)完善董(dong)(dong)事(shi)(shi)會內(nei)部制(zhi)(zhi)衡(heng)(heng)機制(zhi)(zhi),內(nei)部董(dong)(dong)事(shi)(shi)人(ren)數需要(yao)控制(zhi)(zhi)在合(he)理(li)的(de)(de)(de)范圍內(nei),盡量不超過董(dong)(dong)事(shi)(shi)人(ren)數的(de)(de)(de)二分之(zhi)一,防止內(nei)部人(ren)控制(zhi)(zhi);同時,保證獨(du)(du)(du)立董(dong)(dong)事(shi)(shi)占(zhan)比,使獨(du)(du)(du)立董(dong)(dong)事(shi)(shi)享有與其他董(dong)(dong)事(shi)(shi)同等知情權,獨(du)(du)(du)立董(dong)(dong)事(shi)(shi)應當(dang)獨(du)(du)(du)立公正(zheng)地履(lv)行職責,不受主要(yao)股東、實際控制(zhi)(zhi)人(ren)及其關聯方影響。

  實踐證明,強化董(dong)(dong)事(shi)會成員(yuan)個人(ren)責(ze)任(ren)是提高公(gong)司(si)治理(li)(li)有效性的(de)(de)重要(yao)保障(zhang),要(yao)落(luo)(luo)實對董(dong)(dong)事(shi)的(de)(de)考核激勵要(yao)求。常偉(wei)認(ren)為,證券(quan)(quan)公(gong)司(si)應(ying)當建立合理(li)(li)有效的(de)(de)董(dong)(dong)事(shi)績效考核與薪(xin)酬(chou)管理(li)(li)制(zhi)度,實現董(dong)(dong)事(shi)的(de)(de)績效考核情況(kuang)與薪(xin)酬(chou)情況(kuang)相(xiang)掛鉤,要(yao)完(wan)善(shan)董(dong)(dong)事(shi)的(de)(de)責(ze)任(ren)約束(shu)機制(zhi)。近年來,五礦(kuang)證券(quan)(quan)在積極落(luo)(luo)實董(dong)(dong)事(shi)考核激勵相(xiang)關要(yao)求的(de)(de)同時,強化董(dong)(dong)事(shi)責(ze)任(ren)約束(shu),要(yao)求董(dong)(dong)事(shi)遵(zun)守法(fa)律、行政法(fa)規(gui)、公(gong)司(si)章程,忠實履行職責(ze),維護(hu)公(gong)司(si)利益(yi),因違法(fa)違規(gui)給公(gong)司(si)造成損失(shi)的(de)(de),應(ying)當承擔賠(pei)償責(ze)任(ren)。

  常偉強調,要著力完善(shan)董(dong)事會(hui)授(shou)(shou)(shou)(shou)權(quan)(quan)機制,確(que)(que)保決策(ce)質量和決策(ce)效(xiao)率雙(shuang)提(ti)升。在(zai)證(zheng)券(quan)(quan)公(gong)司(si)實際經(jing)營管(guan)(guan)理(li)(li)(li)中(zhong),董(dong)事會(hui)授(shou)(shou)(shou)(shou)權(quan)(quan)主要是指董(dong)事會(hui)將(jiang)部分(fen)事項(xiang)決定(ding)權(quan)(quan)授(shou)(shou)(shou)(shou)予董(dong)事長(chang)、總(zong)經(jing)理(li)(li)(li)辦(ban)公(gong)會(hui)、總(zong)經(jing)理(li)(li)(li)等被授(shou)(shou)(shou)(shou)權(quan)(quan)人,包括明(ming)確(que)(que)授(shou)(shou)(shou)(shou)權(quan)(quan)的(de)范圍(wei)(wei)。董(dong)事會(hui)可將(jiang)法(fa)定(ding)職權(quan)(quan)外的(de)部分(fen)公(gong)司(si)章程規定(ding)職權(quan)(quan)進(jin)行授(shou)(shou)(shou)(shou)權(quan)(quan),凡(fan)屬董(dong)事會(hui)法(fa)定(ding)職權(quan)(quan)的(de),不得授(shou)(shou)(shou)(shou)權(quan)(quan),如企業重大和高風(feng)險投資(zi)項(xiang)目(mu)必須由董(dong)事會(hui)決策(ce)。近年來五礦證(zheng)券(quan)(quan)落實“分(fen)層分(fen)級(ji)”的(de)管(guan)(guan)理(li)(li)(li)理(li)(li)(li)念,完善(shan)授(shou)(shou)(shou)(shou)權(quan)(quan)機制,日常管(guan)(guan)理(li)(li)(li)工作(zuo)由董(dong)事會(hui)授(shou)(shou)(shou)(shou)權(quan)(quan)經(jing)營層負責(ze),明(ming)確(que)(que)授(shou)(shou)(shou)(shou)權(quan)(quan)范圍(wei)(wei)、額度、相關管(guan)(guan)控(kong)要求(qiu),在(zai)合(he)理(li)(li)(li)管(guan)(guan)控(kong)的(de)前提(ti)下,有效(xiao)提(ti)升了業務和管(guan)(guan)理(li)(li)(li)效(xiao)率。(本專欄由中(zhong)國證(zheng)券(quan)(quan)報與(yu)中(zhong)國證(zheng)券(quan)(quan)業協會(hui)聯合(he)推出)
