王府井(jing)12月31日晚(wan)間發(fa)布(bu)定增(zeng)預(yu)案,公(gong)司(si)擬以23.02元/股(gu)(gu)非公(gong)開發(fa)行(xing)13032.15萬股(gu)(gu),募(mu)集資(zi)金總額30億(yi)元,將用于投(tou)建多(duo)個(ge)購(gou)物中心項目及(ji)O2O全渠道項目,旨(zhi)在完(wan)善公(gong)司(si)經營業(ye)態戰略布(bu)局,并搭建線上線下融合渠道。
根據方案(an),其中三(san)(san)胞集團(tuan)、實際控(kong)制(zhi)人袁亞非(fei)擬(ni)通(tong)過三(san)(san)胞投(tou)資(zi)認購15億元;北京市國(guo)(guo)資(zi)委旗下京國(guo)(guo)瑞基金擬(ni)認購10億元;懿兆(zhao)投(tou)資(zi)擬(ni)認購5億元。發(fa)行完成后,公司控(kong)股(gu)股(gu)東王(wang)府井國(guo)(guo)際持股(gu)比例將由49.27%降至38.44%,仍為公司控(kong)股(gu)股(gu)東。
方案顯示,公(gong)司此(ci)次募(mu)投(tou)項目(mu)(mu)包括:哈爾濱群(qun)力(li)文化廣場二(er)期購物(wu)(wu)(wu)(wu)中(zhong)(zhong)心(xin)(xin)、熙地港(鄭(zheng)州)購物(wu)(wu)(wu)(wu)中(zhong)(zhong)心(xin)(xin)、熙地港(西安)購物(wu)(wu)(wu)(wu)中(zhong)(zhong)心(xin)(xin)、佛山王府井(jing)購物(wu)(wu)(wu)(wu)中(zhong)(zhong)心(xin)(xin)、南昌王府井(jing)購物(wu)(wu)(wu)(wu)中(zhong)(zhong)心(xin)(xin)、銀川東方紅(hong)購物(wu)(wu)(wu)(wu)中(zhong)(zhong)心(xin)(xin),項目(mu)(mu)總(zong)投(tou)資約70.7億(yi)元,擬投(tou)入(ru)募(mu)集(ji)資金合(he)計28.36億(yi)元。公(gong)司表示,上述購物(wu)(wu)(wu)(wu)中(zhong)(zhong)心(xin)(xin)項目(mu)(mu)有(you)利于豐(feng)富及(ji)完(wan)善公(gong)司在(zai)購物(wu)(wu)(wu)(wu)中(zhong)(zhong)心(xin)(xin)業(ye)態的(de)戰略布(bu)局,拓展(zhan)發展(zhan)空間,進一(yi)步發揮(hui)公(gong)司在(zai)零售(shou)領(ling)域(yu)的(de)品牌(pai)優勢(shi),提升市場占有(you)率(lv)和競爭力(li),最終(zhong)提升公(gong)司整(zheng)體盈利能力(li)。
此外,O2O全(quan)(quan)渠道(dao)項目(mu)(mu)總投(tou)(tou)資(zi)4.57億元,擬投(tou)(tou)入(ru)募(mu)集(ji)資(zi)金(jin)1.64億元,項目(mu)(mu)計劃力爭用三年時(shi)間,到(dao)2018年底(di)使公(gong)司(si)O2O全(quan)(quan)渠道(dao)的核心平臺完全(quan)(quan)上(shang)線(xian)并投(tou)(tou)入(ru)使用,使得公(gong)司(si)實現銷(xiao)售全(quan)(quan)渠道(dao)化(hua)(hua)(hua)、門店互聯(lian)網化(hua)(hua)(hua)、供應鏈(lian)國際化(hua)(hua)(hua)、用戶體系(xi)平臺化(hua)(hua)(hua)、支付(fu)體系(xi)金(jin)融化(hua)(hua)(hua)和運營能力平臺化(hua)(hua)(hua)。
同日(ri)王(wang)府井公(gong)(gong)告稱,公(gong)(gong)司(si)正在進(jin)行(xing)戰(zhan)略(lve)轉型升級,將由(you)單一百貨(huo)主業(ye)轉變(bian)為涵蓋百貨(huo)、購(gou)物中心、奧(ao)特萊斯、超市、線上(shang)零售平臺等(deng)多業(ye)態并舉、覆蓋消(xiao)費者(zhe)全生活系統的零售公(gong)(gong)司(si)。為更(geng)好的體(ti)現公(gong)(gong)司(si)戰(zhan)略(lve)發展布局(ju),公(gong)(gong)司(si)擬變(bian)更(geng)名稱,由(you)原“北京(jing)王(wang)府井百貨(huo)(集團)股份(fen)有限公(gong)(gong)司(si)”變(bian)更(geng)為“王(wang)府井集團股份(fen)有限公(gong)(gong)司(si)”。
