國慶(qing)中秋長假期(qi)間,“虎門大橋看日出”意外爆紅,成為假期(qi)“新景點”。而長假剛過,虎門大橋又成為廣東省(sheng)國資整合的新起點。
新(xin)(xin)一輪(lun)廣(guang)東國資整合(he)正是從涉及虎(hu)門大橋在內的交通板塊(kuai)開(kai)始。廣(guang)東省國資委(wei)主任(ren)、黨委(wei)書(shu)記李成(cheng)指出,此次整合(he)有利于做強做優主業(ye)(ye),增強企業(ye)(ye)核心競爭力,為新(xin)(xin)一輪(lun)廣(guang)東省國有企業(ye)(ye)改革趟(tang)新(xin)(xin)路、作示范。
交通板塊打頭陣
據(ju)廣東(dong)省(sheng)國資委10月9日(ri)對(dui)外(wai)公(gong)布的消(xiao)息,廣東(dong)省(sheng)屬(shu)國企整合(he)首單(dan)正式在高速(su)公(gong)路(lu)板(ban)塊落地。根據(ju)方案,以廣東(dong)省(sheng)交通集團(tuan)有限公(gong)司為主體,整合(he)廣東(dong)聯合(he)電子服務股份(fen)有限公(gong)司和廣東(dong)省(sheng)南粵交通投資建設(she)有限公(gong)司。
此(ci)次(ci)重組(zu)整合后(hou),廣東省(sheng)交通(tong)集團運(yun)營(ying)(ying)的高速(su)公路里程(cheng)(cheng)超過5500公里,管理的總資(zi)產(chan)(chan)超過5000億元,資(zi)產(chan)(chan)規模和運(yun)營(ying)(ying)的高速(su)公路里程(cheng)(cheng)在全國省(sheng)屬交通(tong)企(qi)業排(pai)名第(di)一。未(wei)來,廣東省(sheng)交通(tong)集團將以市場化(hua)、法制化(hua)為原則,搭建(jian)省(sheng)級高速(su)公路及(ji)相關產(chan)(chan)業投融(rong)資(zi)、建(jian)設、運(yun)營(ying)(ying)和管理平臺,促進廣東省(sheng)交通(tong)產(chan)(chan)業可持續(xu)發展。
上述交(jiao)(jiao)通(tong)(tong)(tong)板塊(kuai)的整(zheng)(zheng)合方(fang)案顯示(shi),首先(xian),廣(guang)(guang)東(dong)(dong)省(sheng)(sheng)(sheng)交(jiao)(jiao)通(tong)(tong)(tong)集(ji)團(tuan)二級單(dan)位(wei)將至少壓縮(suo)5家,并構(gou)建(jian)五大板塊(kuai)業務(wu)。其(qi)中,在廣(guang)(guang)東(dong)(dong)省(sheng)(sheng)(sheng)屬(shu)高速公路板塊(kuai)企業整(zheng)(zheng)合路徑上,廣(guang)(guang)東(dong)(dong)省(sheng)(sheng)(sheng)國資(zi)委持有(you)的聯(lian)合電服51%股權將無償劃轉至廣(guang)(guang)東(dong)(dong)省(sheng)(sheng)(sheng)交(jiao)(jiao)通(tong)(tong)(tong)集(ji)團(tuan);聯(lian)網收費拆分結算和(he)(he)ETC運(yun)營工作(zuo),由廣(guang)(guang)東(dong)(dong)省(sheng)(sheng)(sheng)交(jiao)(jiao)通(tong)(tong)(tong)運(yun)輸廳負責行(xing)政管理和(he)(he)監管,廣(guang)(guang)東(dong)(dong)省(sheng)(sheng)(sheng)交(jiao)(jiao)通(tong)(tong)(tong)集(ji)團(tuan)負責具(ju)體運(yun)營。其(qi)次,廣(guang)(guang)東(dong)(dong)省(sheng)(sheng)(sheng)南粵(yue)交(jiao)(jiao)通(tong)(tong)(tong)投資(zi)建(jian)設有(you)限公司(si)的出(chu)資(zi)人為廣(guang)(guang)東(dong)(dong)省(sheng)(sheng)(sheng)人民政府,由原來授權廣(guang)(guang)東(dong)(dong)省(sheng)(sheng)(sheng)交(jiao)(jiao)通(tong)(tong)(tong)運(yun)輸廳履行(xing)出(chu)資(zi)人職(zhi)責調整(zheng)(zheng)為授權廣(guang)(guang)東(dong)(dong)省(sheng)(sheng)(sheng)交(jiao)(jiao)通(tong)(tong)(tong)集(ji)團(tuan)履行(xing)出(chu)資(zi)人職(zhi)責;重組后維持政府還(huan)貸高速公路項(xiang)目性質不變,仍按照“收支兩(liang)條線和(he)(he)保(bao)持既(ji)定的投資(zi)和(he)(he)債務(wu)償還(huan)方(fang)式”。
此次(ci)重組后,廣東省交(jiao)通集團對內(nei)部同質(zhi)化(hua)企業和(he)業務進行全(quan)面梳理(li)(li),分步改(gai)革重組和(he)壓縮(suo)管理(li)(li)層級(ji),力爭重組整合后的二級(ji)單位由初期的19家重組至不(bu)超過14家,構建(jian)(jian)“公路投資(zi)建(jian)(jian)設(she)運營、出行服(fu)務及物(wu)流、智慧交(jiao)通施(shi)工和(he)設(she)計及監(jian)理(li)(li)、土地等配套(tao)資(zi)源開發”五大板(ban)塊,建(jian)(jian)立集約(yue)化(hua)和(he)扁平化(hua)的組織架構。目前(qian),粵(yue)高速A為廣東省交(jiao)通板(ban)塊唯一的A股上市平臺。
在具(ju)體(ti)措施上(shang),一是(shi)(shi)(shi)研(yan)究(jiu)由廣東(dong)省基礎(chu)設施投資基金作(zuo)為引(yin)導基金,適時組建(jian)高(gao)速公(gong)(gong)路(lu)(lu)子基金,用于(yu)補充高(gao)速公(gong)(gong)路(lu)(lu)資金缺口;二是(shi)(shi)(shi)進(jin)一步發揮上(shang)市(shi)公(gong)(gong)司(si)和境外融(rong)資平臺及財務(wu)公(gong)(gong)司(si)功(gong)能,通(tong)過資本(ben)運作(zuo),做大(da)上(shang)市(shi)公(gong)(gong)司(si)市(shi)值,盤活高(gao)速公(gong)(gong)路(lu)(lu)資產,增加現(xian)金流入,調劑資金余缺;三是(shi)(shi)(shi)為改(gai)善省交(jiao)通(tong)集團(tuan)融(rong)資和盈利能力,將虎(hu)門大(da)橋30%收(shou)益權劃歸廣東(dong)省交(jiao)通(tong)集團(tuan),統籌用于(yu)廣東(dong)省交(jiao)通(tong)集團(tuan)管(guan)理(li)的高(gao)速公(gong)(gong)路(lu)(lu)項目(mu);四是(shi)(shi)(shi)研(yan)究(jiu)與金融(rong)機構合作(zuo)開展債轉股(gu)業務(wu),改(gai)善省交(jiao)通(tong)集團(tuan)資本(ben)結構。
此次整合有六大意義
上證報微信公(gong)眾號(hao)于9月22日報道(dao),新一(yi)輪(lun)廣東國資(zi)大整(zheng)合“力度(du)空前”,將顛覆以往廣東國資(zi)改革“風聲大,雨點(dian)小”的看法。與(yu)央(yang)企整(zheng)合的思路相(xiang)同,廣東省屬(shu)36家(jia)國企也將實施分類合并、壓縮整(zheng)合。
“省(sheng)屬(shu)高速公(gong)(gong)路(lu)板塊企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)整(zheng)合(he)為新(xin)一輪(lun)國企(qi)(qi)(qi)(qi)(qi)改(gai)革作出示(shi)(shi)范。”李成昨日通(tong)過當地官方(fang)媒體(ti)表示(shi)(shi),此次省(sheng)屬(shu)高速公(gong)(gong)路(lu)板塊企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)整(zheng)合(he)有(you)(you)(you)六方(fang)面的意義(yi):一是(shi)(shi)(shi)有(you)(you)(you)利于(yu)(yu)(yu)做強做優主業(ye)(ye)(ye),增強企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)核心(xin)競(jing)爭(zheng)力(li)(li),為新(xin)一輪(lun)廣東省(sheng)國有(you)(you)(you)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)改(gai)革趟新(xin)路(lu)、作示(shi)(shi)范;二是(shi)(shi)(shi)有(you)(you)(you)利于(yu)(yu)(yu)優化(hua)布局結(jie)構(gou),推(tui)動轉型升(sheng)級,提高省(sheng)屬(shu)國有(you)(you)(you)資(zi)源配置和(he)運行效(xiao)率;三是(shi)(shi)(shi)有(you)(you)(you)利于(yu)(yu)(yu)加快補(bu)齊短板,推(tui)動全省(sheng)供給(gei)側結(jie)構(gou)性改(gai)革,促進交通(tong)基礎設(she)施(shi)建設(she)實(shi)現(xian)新(xin)的跨越(yue);四是(shi)(shi)(shi)有(you)(you)(you)利于(yu)(yu)(yu)放(fang)大(da)國有(you)(you)(you)資(zi)本(ben)功能,做強做大(da)上市公(gong)(gong)司(si),匯(hui)聚企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)專業(ye)(ye)(ye)、集(ji)群發(fa)展優勢;五(wu)是(shi)(shi)(shi)有(you)(you)(you)利于(yu)(yu)(yu)實(shi)現(xian)優勢互補(bu),打造國有(you)(you)(you)交通(tong)基礎設(she)施(shi)及綜(zong)合(he)服務龍頭企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye),在粵港澳(ao)大(da)灣區現(xian)代綜(zong)合(he)交通(tong)運輸體(ti)系中發(fa)揮(hui)主力(li)(li)軍作用;六是(shi)(shi)(shi)有(you)(you)(you)利于(yu)(yu)(yu)創新(xin)體(ti)制機制,重(zhong)新(xin)架構(gou)公(gong)(gong)司(si)治理結(jie)構(gou),充分激發(fa)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)改(gai)革發(fa)展的生機活力(li)(li)。
