停牌公告:
華北高速12月5日起連續停牌直至終止上市
華北高速(000916.SZ)3日晚發(fa)(fa)布公(gong)告(gao),12月(yue)4日為公(gong)司股(gu)票最后一個交(jiao)(jiao)(jiao)易日,12月(yue)5日起(qi)開始停牌(pai),此(ci)后進入現金(jin)選擇權派發(fa)(fa)、行權申(shen)報、行權清算交(jiao)(jiao)(jiao)收階(jie)段,不再交(jiao)(jiao)(jiao)易。直至實施換股(gu)后,轉換為招商公(gong)路股(gu)份在深交(jiao)(jiao)(jiao)所上市及掛(gua)牌(pai)交(jiao)(jiao)(jiao)易。
公司股(gu)票12月1日(ri)收盤(pan)價(jia)(jia)(jia)為(wei)8.10元/股(gu),現金選(xuan)擇(ze)(ze)權(quan)價(jia)(jia)(jia)格為(wei)4.49元/股(gu),經有(you)效申報形式現金選(xuan)擇(ze)(ze)權(quan)的股(gu)東將以4.49元/股(gu)的行權(quan)價(jia)(jia)(jia)格獲得現金對價(jia)(jia)(jia)。若投資者行使(shi)現金選(xuan)擇(ze)(ze)權(quan),將可能導致虧損。
華(hua)(hua)北(bei)(bei)(bei)高(gao)(gao)速(su)(su)此前發布公(gong)告稱,招(zhao)(zhao)(zhao)(zhao)商公(gong)路(lu)作為(wei)本次吸(xi)收(shou)(shou)合并的(de)合并方和換(huan)股(gu)實(shi)施方,將通過證(zheng)券(quan)轉(zhuan)換(huan)方式對投(tou)資(zi)者(zhe)持(chi)有的(de)華(hua)(hua)北(bei)(bei)(bei)高(gao)(gao)速(su)(su)股(gu)份進行換(huan)股(gu)。“證(zheng)券(quan)轉(zhuan)換(huan)”是指對投(tou)資(zi)者(zhe)持(chi)有的(de)華(hua)(hua)北(bei)(bei)(bei)高(gao)(gao)速(su)(su)股(gu)份,按(an)照換(huan)股(gu)吸(xi)收(shou)(shou)合并方案(an)確定的(de)換(huan)股(gu)比例(li),轉(zhuan)換(huan)成(cheng)(cheng)相應數量的(de)招(zhao)(zhao)(zhao)(zhao)商公(gong)路(lu)股(gu)份。在(zai)完成(cheng)(cheng)證(zheng)券(quan)轉(zhuan)換(huan)后,招(zhao)(zhao)(zhao)(zhao)商公(gong)路(lu)將申請在(zai)深圳證(zheng)券(quan)交易所上(shang)市(shi)交易。換(huan)股(gu)完成(cheng)(cheng)后,華(hua)(hua)北(bei)(bei)(bei)高(gao)(gao)速(su)(su)退市(shi)并注(zhu)銷(xiao),招(zhao)(zhao)(zhao)(zhao)商公(gong)路(lu)作為(wei)合并方暨(ji)存續公(gong)司,華(hua)(hua)北(bei)(bei)(bei)高(gao)(gao)速(su)(su)全部資(zi)產、負(fu)債、業務、人(ren)員、合同及其他一切權(quan)利與義務由招(zhao)(zhao)(zhao)(zhao)商公(gong)路(lu)承繼承接,華(hua)(hua)北(bei)(bei)(bei)高(gao)(gao)速(su)(su)終止(zhi)上(shang)市(shi)并注(zhu)銷(xiao)法(fa)人(ren)資(zi)格(ge)。
招商公路換(huan)股(gu)吸收合并華(hua)(hua)北(bei)高速(su)(su)的比(bi)例為1:0.6956,即華(hua)(hua)北(bei)高速(su)(su)換(huan)股(gu)股(gu)東所持有的每股(gu)華(hua)(hua)北(bei)高速(su)(su)股(gu)票可以換(huan)得(de)0.6956股(gu)招商公路本次(ci)發行(xing)的股(gu)票。
招(zhao)(zhao)(zhao)商公(gong)(gong)(gong)(gong)(gong)(gong)路(lu)(lu)全(quan)稱為(wei)“招(zhao)(zhao)(zhao)商局公(gong)(gong)(gong)(gong)(gong)(gong)路(lu)(lu)網絡科技控(kong)(kong)股(gu)股(gu)份有(you)(you)限(xian)公(gong)(gong)(gong)(gong)(gong)(gong)司(si)”,是招(zhao)(zhao)(zhao)商局集(ji)團旗下經(jing)營(ying)收(shou)費(fei)公(gong)(gong)(gong)(gong)(gong)(gong)路(lu)(lu)及交(jiao)通(tong)科技業(ye)務(wu)的(de)唯一整(zheng)合平(ping)臺,由(you)招(zhao)(zhao)(zhao)商局集(ji)團全(quan)資(zi)(zi)子公(gong)(gong)(gong)(gong)(gong)(gong)司(si)招(zhao)(zhao)(zhao)商局華建公(gong)(gong)(gong)(gong)(gong)(gong)路(lu)(lu)投(tou)資(zi)(zi)有(you)(you)限(xian)公(gong)(gong)(gong)(gong)(gong)(gong)司(si)和(he)(he)招(zhao)(zhao)(zhao)商局重慶交(jiao)通(tong)科研設計(ji)研究院(yuan)有(you)(you)限(xian)公(gong)(gong)(gong)(gong)(gong)(gong)司(si)重組整(zheng)合后組建,現(xian)為(wei)招(zhao)(zhao)(zhao)商局集(ji)團的(de)直(zhi)屬二級企業(ye)。招(zhao)(zhao)(zhao)商公(gong)(gong)(gong)(gong)(gong)(gong)路(lu)(lu)系中國(guo)投(tou)資(zi)(zi)經(jing)營(ying)里程最(zui)長、跨(kua)區(qu)(qu)域最(zui)廣、產(chan)業(ye)鏈最(zui)完(wan)整(zheng)的(de)綜合性公(gong)(gong)(gong)(gong)(gong)(gong)路(lu)(lu)投(tou)資(zi)(zi)運(yun)營(ying)服(fu)務(wu)商。截至2016年年底(di),招(zhao)(zhao)(zhao)商公(gong)(gong)(gong)(gong)(gong)(gong)路(lu)(lu)參控(kong)(kong)股(gu)路(lu)(lu)權已(yi)(yi)覆蓋全(quan)國(guo)18個省、自治區(qu)(qu)和(he)(he)直(zhi)轄市,投(tou)資(zi)(zi)經(jing)營(ying)的(de)收(shou)費(fei)公(gong)(gong)(gong)(gong)(gong)(gong)路(lu)(lu)(含橋)總(zong)里程8,203公(gong)(gong)(gong)(gong)(gong)(gong)里,權益里程1,787公(gong)(gong)(gong)(gong)(gong)(gong)里,是中國(guo)公(gong)(gong)(gong)(gong)(gong)(gong)路(lu)(lu)行(xing)業(ye)領先的(de)中央(yang)級國(guo)有(you)(you)企業(ye)。目前(qian)已(yi)(yi)實現(xian)勘察、設計(ji)、特色施工(gong)、投(tou)資(zi)(zi)、運(yun)營(ying)、養護、服(fu)務(wu)等公(gong)(gong)(gong)(gong)(gong)(gong)路(lu)(lu)全(quan)產(chan)業(ye)鏈相關業(ye)務(wu)。
華創證券分(fen)析認為(wei),招(zhao)商(shang)(shang)公(gong)(gong)(gong)路通過對(dui)(dui)招(zhao)商(shang)(shang)局旗(qi)下公(gong)(gong)(gong)路板塊整合(he)上市(shi),對(dui)(dui)路權集中(zhong)管(guan)理(li),有(you)利(li)于降低高速公(gong)(gong)(gong)路運(yun)營成(cheng)本(ben)、改善服(fu)務質(zhi)量,進而加快(kuai)提(ti)升交通運(yun)輸的有(you)效供給。通過本(ben)次交易,招(zhao)商(shang)(shang)局集團(tuan)公(gong)(gong)(gong)路板塊的優(you)質(zhi)資源將以招(zhao)商(shang)(shang)公(gong)(gong)(gong)路為(wei)平(ping)臺(tai)得到充分(fen)利(li)用(yong),并與華北(bei)高速成(cheng)熟的運(yun)營管(guan)理(li)體(ti)系(xi)、京津冀地區(qu)得天獨厚的地理(li)位置等優(you)勢(shi)相結(jie)合(he),將更好地發揮規模效益和協同效應。交易完成(cheng)后,將為(wei)智能(neng)交通生(sheng)態圈建設提(ti)供更為(wei)廣(guang)闊的平(ping)臺(tai),有(you)助于將相關技術和商(shang)(shang)業模式向全國推(tui)廣(guang),從而推(tui)動(dong)行業的整體(ti)進步(bu)。
