國務院辦公(gong)廳10日正(zheng)式印發《關于加強(qiang)和改進企(qi)業(ye)國有(you)資產監督(du)防止國有(you)資產流失的(de)意見》,意見提出(chu),要實(shi)現企(qi)業(ye)國有(you)資產監督(du)全(quan)覆蓋,加強(qiang)對(dui)國有(you)企(qi)業(ye)權力(li)集(ji)(ji)中、資金(jin)密集(ji)(ji)、資源富集(ji)(ji)、資產聚(ju)集(ji)(ji)等重點(dian)部門、重點(dian)崗位和重點(dian)決(jue)策環節的(de)監督(du),切實(shi)維護國有(you)資產安(an)全(quan)。并(bing)正(zheng)確(que)處理好依法加強(qiang)監督(du)和增強(qiang)企(qi)業(ye)活力(li)的(de)關系,尊重和維護企(qi)業(ye)經營自主權,增強(qiang)監督(du)的(de)針對(dui)性(xing)和有(you)效(xiao)性(xing)。
《意見(jian)》提出,要以國有(you)資(zi)產(chan)保值增值、防止流失為目標,堅(jian)持問(wen)題導向,立足體制(zhi)機(ji)制(zhi)制(zhi)度創新,加強和改進黨對(dui)國有(you)企業的領導,切(qie)實強化國有(you)企業內部監(jian)督(du)、出資(zi)人監(jian)督(du)和審計、紀檢(jian)監(jian)察、巡視監(jian)督(du)以及社會監(jian)督(du),嚴(yan)格責(ze)(ze)任追(zhui)究,加快形成(cheng)全面覆蓋(gai)、分工明確、協(xie)同配合、制(zhi)約有(you)力的國有(you)資(zi)產(chan)監(jian)督(du)體系(xi)。要堅(jian)持全面覆蓋(gai),突出重(zhong)點;堅(jian)持權責(ze)(ze)分明,協(xie)同聯合;堅(jian)持放管(guan)結(jie)合,提高效率;堅(jian)持完善制(zhi)度,嚴(yan)肅(su)問(wen)責(ze)(ze)。建(jian)立健全企業國有(you)資(zi)產(chan)監(jian)督(du)法律(lv)法規(gui)體系(xi),依法依規(gui)開展監(jian)督(du)工作,完善責(ze)(ze)任追(zhui)究制(zhi)度,對(dui)違(wei)法違(wei)規(gui)造成(cheng)國有(you)資(zi)產(chan)損(sun)失以及監(jian)督(du)工作中(zhong)失職瀆職的責(ze)(ze)任主體,嚴(yan)格追(zhui)究責(ze)(ze)任。
《意見》提出了防止國(guo)有資產流(liu)失(shi)五方(fang)面舉措,一是著力強(qiang)化企(qi)業(ye)(ye)內部(bu)監(jian)督(du)(du)(du)。完善企(qi)業(ye)(ye)內部(bu)監(jian)督(du)(du)(du)機(ji)制;強(qiang)化董事會(hui)規范運作(zuo)和(he)對(dui)經理(li)(li)層的監(jian)督(du)(du)(du),深入推進外部(bu)董事占多(duo)數的董事會(hui)建設;加(jia)強(qiang)企(qi)業(ye)(ye)內設監(jian)事會(hui)建設,加(jia)大監(jian)事會(hui)對(dui)董事、高級管理(li)(li)人員履職行為的監(jian)督(du)(du)(du)力度;重視企(qi)業(ye)(ye)職工民(min)主監(jian)督(du)(du)(du),健全企(qi)業(ye)(ye)民(min)主管理(li)(li)制度;發(fa)揮企(qi)業(ye)(ye)黨組織(zhi)保證監(jian)督(du)(du)(du)作(zuo)用,把加(jia)強(qiang)黨的領(ling)導和(he)完善公司治理(li)(li)統一起(qi)來。
二是切實加強(qiang)(qiang)(qiang)企業(ye)外部(bu)(bu)監(jian)(jian)(jian)督(du)(du)(du)(du)。完(wan)善國(guo)有(you)資(zi)產監(jian)(jian)(jian)管機構監(jian)(jian)(jian)督(du)(du)(du)(du),進(jin)一(yi)步(bu)加強(qiang)(qiang)(qiang)出資(zi)人監(jian)(jian)(jian)督(du)(du)(du)(du),健全國(guo)有(you)企業(ye)規劃投(tou)資(zi)、改制(zhi)重(zhong)組、產權管理(li)、薪酬分(fen)配等規范國(guo)有(you)資(zi)本運作、防止流失的(de)制(zhi)度;加強(qiang)(qiang)(qiang)和(he)改進(jin)外派監(jian)(jian)(jian)事(shi)會監(jian)(jian)(jian)督(du)(du)(du)(du),著(zhu)力強(qiang)(qiang)(qiang)化對(dui)企業(ye)的(de)當期和(he)事(shi)中監(jian)(jian)(jian)督(du)(du)(du)(du)。健全國(guo)有(you)企業(ye)審(shen)計監(jian)(jian)(jian)督(du)(du)(du)(du)體系,探索(suo)任期輪審(shen),探索(suo)建(jian)立國(guo)有(you)企業(ye)經常(chang)性審(shen)計制(zhi)度;進(jin)一(yi)步(bu)增強(qiang)(qiang)(qiang)紀檢監(jian)(jian)(jian)察和(he)巡視的(de)監(jian)(jian)(jian)督(du)(du)(du)(du)作用;建(jian)立高效順暢(chang)的(de)外部(bu)(bu)監(jian)(jian)(jian)督(du)(du)(du)(du)協同機制(zhi)。
三是實施(shi)信(xin)息(xi)(xi)公(gong)開(kai)(kai)(kai)加(jia)強社(she)會(hui)監(jian)督(du)。推動國(guo)有(you)(you)(you)資(zi)(zi)產(chan)(chan)和國(guo)有(you)(you)(you)企業(ye)(ye)重大信(xin)息(xi)(xi)公(gong)開(kai)(kai)(kai)。建(jian)立健全企業(ye)(ye)國(guo)有(you)(you)(you)資(zi)(zi)產(chan)(chan)監(jian)管重大信(xin)息(xi)(xi)公(gong)開(kai)(kai)(kai)制(zhi)度(du),依(yi)法依(yi)規(gui)(gui)設立信(xin)息(xi)(xi)公(gong)開(kai)(kai)(kai)平臺,對國(guo)有(you)(you)(you)資(zi)(zi)本(ben)整體運(yun)營(ying)情況(kuang)、企業(ye)(ye)國(guo)有(you)(you)(you)資(zi)(zi)產(chan)(chan)保(bao)值增(zeng)值及(ji)經營(ying)業(ye)(ye)績考(kao)核(he)總體情況(kuang)、國(guo)有(you)(you)(you)資(zi)(zi)產(chan)(chan)監(jian)管制(zhi)度(du)和監(jian)督(du)檢查情況(kuang)等依(yi)法依(yi)規(gui)(gui)、及(ji)時(shi)準確披露(lu);切(qie)實加(jia)強社(she)會(hui)監(jian)督(du)。
四是強(qiang)化國(guo)有(you)資(zi)產損失和監督(du)工(gong)作責(ze)(ze)任(ren)(ren)(ren)追究(jiu)(jiu)。加大對國(guo)有(you)企(qi)業(ye)違(wei)規經營責(ze)(ze)任(ren)(ren)(ren)追究(jiu)(jiu)力度(du)(du),健全(quan)并嚴(yan)(yan)格執行國(guo)有(you)企(qi)業(ye)違(wei)規經營責(ze)(ze)任(ren)(ren)(ren)追究(jiu)(jiu)制(zhi)(zhi)度(du)(du);嚴(yan)(yan)格監督(du)工(gong)作責(ze)(ze)任(ren)(ren)(ren)追究(jiu)(jiu),健全(quan)問責(ze)(ze)機制(zhi)(zhi),嚴(yan)(yan)格追究(jiu)(jiu)有(you)關人員失職瀆職責(ze)(ze)任(ren)(ren)(ren),完(wan)善監督(du)工(gong)作中的(de)自我監督(du)機制(zhi)(zhi)。
五是加強(qiang)監督制度和(he)能(neng)力建設。完(wan)善企(qi)業國有資(zi)產(chan)監督法律(lv)制度,加強(qiang)監督制度和(he)能(neng)力建設。
中國企業(ye)研究院首席研究員李錦表示,文件的(de)下(xia)發為下(xia)一步(bu)深化(hua)國企國資改革(ge)做出(chu)(chu)(chu)保障性安排(pai),“全面(mian)覆蓋(gai)”意(yi)(yi)味(wei)著監(jian)督(du)(du)將(jiang)(jiang)不留死(si)角,在全面(mian)覆蓋(gai)同時也將(jiang)(jiang)突(tu)出(chu)(chu)(chu)重(zhong)(zhong)(zhong)點,而國有(you)企業(ye)權力集中、資金密集、資源(yuan)富(fu)集、資產聚集等重(zhong)(zhong)(zhong)點部門、重(zhong)(zhong)(zhong)點崗位和重(zhong)(zhong)(zhong)點決策環節(jie)將(jiang)(jiang)是監(jian)督(du)(du)重(zhong)(zhong)(zhong)點。“分工(gong)明確,協(xie)同配合”則(ze)(ze)意(yi)(yi)味(wei)著,新的(de)體(ti)(ti)系將(jiang)(jiang)清晰界定出(chu)(chu)(chu)資人、審計、紀檢巡視、國企內部監(jian)督(du)(du)力量等各類(lei)監(jian)督(du)(du)主體(ti)(ti)的(de)監(jian)督(du)(du)職責,增強監(jian)督(du)(du)工(gong)作合力。”“制約有(you)力”則(ze)(ze)是對新的(de)國資監(jian)督(du)(du)體(ti)(ti)系提出(chu)(chu)(chu)明確目標(biao)和要求。
