國資委八舉措加強地方國有企業債務風險管控

  中證網訊 (記者 劉麗(li)靚(jing))國(guo)務(wu)院(yuan)國(guo)資委(wei)3月26日(ri)消息,近(jin)日(ri),國(guo)務(wu)院(yuan)國(guo)資委(wei)印(yin)發《關于加強地方國(guo)有企業(ye)債務(wu)風(feng)險(xian)(xian)管控工(gong)作的(de)指導意(yi)見》(以下簡稱《指導意(yi)見》)。《指導意(yi)見》提(ti)出八大舉措,指導地方國(guo)資委(wei)進一(yi)步加強國(guo)有企業(ye)債務(wu)風(feng)險(xian)(xian)管控工(gong)作,有效(xiao)防范化解企業(ye)重大債務(wu)風(feng)險(xian)(xian),堅決(jue)守住不(bu)引發區域性(xing)、系統性(xing)金融風(feng)險(xian)(xian)的(de)底線。

  《指導意(yi)見(jian)》指出,充分(fen)認(ren)識(shi)(shi)當前加強國(guo)有企(qi)業(ye)債務(wu)(wu)風(feng)(feng)(feng)險管(guan)控的重要(yao)性。各地方(fang)國(guo)資(zi)委要(yao)進(jin)一(yi)步提(ti)高(gao)政(zheng)治站位(wei),增強責(ze)任意(yi)識(shi)(shi),充分(fen)認(ren)識(shi)(shi)當前加強地方(fang)國(guo)有企(qi)業(ye)債務(wu)(wu)風(feng)(feng)(feng)險管(guan)控的重要(yao)性、緊迫性,督促指導地方(fang)國(guo)有企(qi)業(ye)嚴格(ge)落實主體責(ze)任,切(qie)實增強底線思(si)維和風(feng)(feng)(feng)險意(yi)識(shi)(shi),依法(fa)合規(gui)開展債務(wu)(wu)融資(zi)和風(feng)(feng)(feng)險處置(zhi),嚴格(ge)遵(zun)守資(zi)本市(shi)(shi)場(chang)規(gui)則和監管(guan)要(yao)求,按期做好(hao)債務(wu)(wu)資(zi)金(jin)兌付,不得惡意(yi)逃廢(fei)債,努力維護國(guo)有企(qi)業(ye)良好(hao)市(shi)(shi)場(chang)信譽和金(jin)融市(shi)(shi)場(chang)穩定。

  《指(zhi)(zhi)導意見》提出(chu),完善債(zhai)(zhai)(zhai)(zhai)務(wu)(wu)風(feng)險(xian)(xian)(xian)(xian)監測預警(jing)機(ji)(ji)制,精準識(shi)別高(gao)風(feng)險(xian)(xian)(xian)(xian)企(qi)業(ye)(ye)。各地(di)方(fang)國(guo)(guo)資(zi)(zi)委要(yao)加(jia)快建(jian)立健全(quan)地(di)方(fang)國(guo)(guo)有企(qi)業(ye)(ye)債(zhai)(zhai)(zhai)(zhai)務(wu)(wu)風(feng)險(xian)(xian)(xian)(xian)監測預警(jing)機(ji)(ji)制,完善重點債(zhai)(zhai)(zhai)(zhai)務(wu)(wu)風(feng)險(xian)(xian)(xian)(xian)指(zhi)(zhi)標(biao)監測臺賬,逐月(yue)跟蹤分析,充(chong)分利(li)用信息化手(shou)段加(jia)強對(dui)各級(ji)企(qi)業(ye)(ye)債(zhai)(zhai)(zhai)(zhai)務(wu)(wu)風(feng)險(xian)(xian)(xian)(xian)的動態(tai)監測,做到早(zao)識(shi)別、早(zao)預警(jing)、早(zao)應對(dui)。可參照中央企(qi)業(ye)(ye)債(zhai)(zhai)(zhai)(zhai)務(wu)(wu)風(feng)險(xian)(xian)(xian)(xian)量(liang)化評估體系(xi),結合地(di)方(fang)實際情況,探索建(jian)立地(di)方(fang)國(guo)(guo)有企(qi)業(ye)(ye)債(zhai)(zhai)(zhai)(zhai)務(wu)(wu)風(feng)險(xian)(xian)(xian)(xian)量(liang)化評估機(ji)(ji)制,綜合債(zhai)(zhai)(zhai)(zhai)務(wu)(wu)水平、負債(zhai)(zhai)(zhai)(zhai)結構、盈(ying)利(li)能力、現(xian)金保障(zhang)、資(zi)(zi)產質量(liang)和隱性債(zhai)(zhai)(zhai)(zhai)務(wu)(wu)等,對(dui)企(qi)業(ye)(ye)債(zhai)(zhai)(zhai)(zhai)務(wu)(wu)風(feng)險(xian)(xian)(xian)(xian)進行精準識(shi)別,將(jiang)債(zhai)(zhai)(zhai)(zhai)務(wu)(wu)風(feng)險(xian)(xian)(xian)(xian)突(tu)出(chu)的企(qi)業(ye)(ye)納入重點管控(kong)范圍,采(cai)取特別管控(kong)措施,督(du)促企(qi)業(ye)(ye)“一企(qi)一策”制定(ding)債(zhai)(zhai)(zhai)(zhai)務(wu)(wu)風(feng)險(xian)(xian)(xian)(xian)處置(zhi)工(gong)作(zuo)方(fang)案,確保穩妥(tuo)化解債(zhai)(zhai)(zhai)(zhai)務(wu)(wu)風(feng)險(xian)(xian)(xian)(xian)。

  《指導意見》提(ti)出,分類(lei)管(guan)(guan)控(kong)(kong)(kong)資(zi)(zi)(zi)產(chan)(chan)負(fu)(fu)債(zhai)率(lv),保(bao)(bao)持合理債(zhai)務(wu)水平。各地方(fang)國資(zi)(zi)(zi)委可(ke)參照中央企(qi)(qi)(qi)業(ye)資(zi)(zi)(zi)產(chan)(chan)負(fu)(fu)債(zhai)率(lv)行(xing)業(ye)警戒線和(he)管(guan)(guan)控(kong)(kong)(kong)線進行(xing)分類(lei)管(guan)(guan)控(kong)(kong)(kong),對(dui)(dui)高負(fu)(fu)債(zhai)企(qi)(qi)(qi)業(ye)實施(shi)負(fu)(fu)債(zhai)規(gui)模和(he)資(zi)(zi)(zi)產(chan)(chan)負(fu)(fu)債(zhai)率(lv)雙(shuang)約束,“一企(qi)(qi)(qi)一策”確定(ding)管(guan)(guan)控(kong)(kong)(kong)目標,指導企(qi)(qi)(qi)業(ye)通過控(kong)(kong)(kong)投(tou)(tou)資(zi)(zi)(zi)、壓負(fu)(fu)債(zhai)、增積累、引戰投(tou)(tou)、債(zhai)轉股(gu)等方(fang)式多措并(bing)舉降杠(gang)桿(gan)減負(fu)(fu)債(zhai),推動高負(fu)(fu)債(zhai)企(qi)(qi)(qi)業(ye)資(zi)(zi)(zi)產(chan)(chan)負(fu)(fu)債(zhai)率(lv)盡(jin)快回歸合理水平。督促指導企(qi)(qi)(qi)業(ye)轉變過度依賴(lai)舉債(zhai)投(tou)(tou)資(zi)(zi)(zi)做大(da)規(gui)模的(de)(de)(de)發展理念,根據(ju)財務(wu)承(cheng)受(shou)能力科學確定(ding)投(tou)(tou)資(zi)(zi)(zi)規(gui)模,從源頭上防(fang)范債(zhai)務(wu)風(feng)險。加強對(dui)(dui)企(qi)(qi)(qi)業(ye)隱性債(zhai)務(wu)的(de)(de)(de)管(guan)(guan)控(kong)(kong)(kong),嚴(yan)控(kong)(kong)(kong)資(zi)(zi)(zi)產(chan)(chan)出表(biao)、表(biao)外融(rong)資(zi)(zi)(zi)等行(xing)為,指導企(qi)(qi)(qi)業(ye)合理使用權益類(lei)融(rong)資(zi)(zi)(zi)工具,對(dui)(dui)永(yong)續(xu)債(zhai)券、永(yong)續(xu)保(bao)(bao)險、永(yong)續(xu)信托等權益類(lei)永(yong)續(xu)債(zhai)和(he)并(bing)表(biao)基金產(chan)(chan)品余額占凈資(zi)(zi)(zi)產(chan)(chan)的(de)(de)(de)比(bi)例進行(xing)限制,嚴(yan)格對(dui)(dui)外擔(dan)保(bao)(bao)管(guan)(guan)理,對(dui)(dui)有產(chan)(chan)權關系(xi)的(de)(de)(de)企(qi)(qi)(qi)業(ye)按股(gu)比(bi)提(ti)供(gong)擔(dan)保(bao)(bao),原(yuan)則上不對(dui)(dui)無產(chan)(chan)權關系(xi)的(de)(de)(de)企(qi)(qi)(qi)業(ye)提(ti)供(gong)擔(dan)保(bao)(bao),嚴(yan)控(kong)(kong)(kong)企(qi)(qi)(qi)業(ye)相互擔(dan)保(bao)(bao)等捆綁式融(rong)資(zi)(zi)(zi)行(xing)為,防(fang)止債(zhai)務(wu)風(feng)險交叉傳導。規(gui)范平臺公(gong)司重大(da)項(xiang)目的(de)(de)(de)投(tou)(tou)融(rong)資(zi)(zi)(zi)管(guan)(guan)理,嚴(yan)控(kong)(kong)(kong)缺乏(fa)交易(yi)實質的(de)(de)(de)變相融(rong)資(zi)(zi)(zi)行(xing)為。

  《指(zhi)導意見》提(ti)(ti)出開(kai)展債(zhai)(zhai)(zhai)(zhai)券(quan)(quan)全生命周期管理,重(zhong)點(dian)防控債(zhai)(zhai)(zhai)(zhai)券(quan)(quan)違(wei)約。各(ge)地(di)方(fang)(fang)國資(zi)委要探索實施債(zhai)(zhai)(zhai)(zhai)券(quan)(quan)發(fa)行(xing)年度(du)計(ji)劃管理,嚴格審核納入(ru)債(zhai)(zhai)(zhai)(zhai)務(wu)風險重(zhong)點(dian)管控范圍(wei)企業(ye)(ye)的(de)發(fa)行(xing)方(fang)(fang)案(an),嚴禁欺詐發(fa)行(xing)債(zhai)(zhai)(zhai)(zhai)券(quan)(quan)、虛假披露信(xin)息、操縱市(shi)(shi)場價格等違(wei)法(fa)違(wei)規(gui)行(xing)為,指(zhi)導地(di)方(fang)(fang)國有(you)(you)企業(ye)(ye)嚴格限(xian)定(ding)所屬子企業(ye)(ye)債(zhai)(zhai)(zhai)(zhai)券(quan)(quan)發(fa)行(xing)條件。可參照中(zhong)央(yang)(yang)企業(ye)(ye)債(zhai)(zhai)(zhai)(zhai)券(quan)(quan)發(fa)行(xing)管理有(you)(you)關規(gui)定(ding),對納入(ru)債(zhai)(zhai)(zhai)(zhai)務(wu)風險重(zhong)點(dian)管控范圍(wei)的(de)企業(ye)(ye)實行(xing)比(bi)例限(xian)制(zhi),引(yin)導企業(ye)(ye)做(zuo)好融資(zi)結構(gou)與(yu)資(zi)金安全的(de)平衡、償債(zhai)(zhai)(zhai)(zhai)時間與(yu)現金流量的(de)匹配。將企業(ye)(ye)發(fa)債(zhai)(zhai)(zhai)(zhai)品種、規(gui)模(mo)、期限(xian)、用途、還(huan)款等關鍵信(xin)息納入(ru)債(zhai)(zhai)(zhai)(zhai)務(wu)風險監(jian)(jian)測(ce)預警機制(zhi)并實施滾(gun)動(dong)監(jian)(jian)測(ce),重(zhong)點(dian)關注信(xin)用評級低(di)、集中(zhong)到期債(zhai)(zhai)(zhai)(zhai)券(quan)(quan)規(gui)模(mo)大、現金流緊張、經(jing)營嚴重(zhong)虧(kui)損(sun)企業(ye)(ye)的(de)債(zhai)(zhai)(zhai)(zhai)券(quan)(quan)違(wei)約風險,督(du)促指(zhi)導企業(ye)(ye)提(ti)(ti)前做(zuo)好兌(dui)付(fu)資(zi)金接續(xu)安排。對于(yu)按期兌(dui)付(fu)確(que)有(you)(you)困難的(de),各(ge)地(di)方(fang)(fang)國資(zi)委要指(zhi)導企業(ye)(ye)提(ti)(ti)前與(yu)債(zhai)(zhai)(zhai)(zhai)券(quan)(quan)持有(you)(you)人溝(gou)通(tong)確(que)定(ding)處置(zhi)方(fang)(fang)案(an),通(tong)過(guo)債(zhai)(zhai)(zhai)(zhai)券(quan)(quan)展期、置(zhi)換等方(fang)(fang)式主(zhu)動(dong)化解(jie)風險,也(ye)可借鑒央(yang)(yang)企信(xin)用保障基金模(mo)式,按照市(shi)(shi)場化、法(fa)治化方(fang)(fang)式妥(tuo)善化解(jie)風險。

  《指導意(yi)見》指出(chu),依(yi)法(fa)處(chu)置債(zhai)券違(wei)約(yue)(yue)風險(xian),嚴禁惡意(yi)逃廢(fei)債(zhai)行為(wei)。對于(yu)已(yi)經發(fa)生債(zhai)券違(wei)約(yue)(yue)的(de),各地方(fang)國資(zi)委(wei)要(yao)及時報告本級人(ren)(ren)民(min)政府,在(zai)地方(fang)政府的(de)統一(yi)領導下,切實(shi)履行屬地責(ze)任(ren),指導違(wei)約(yue)(yue)企業(ye)按照市場(chang)(chang)化、法(fa)治化、國際化原則妥(tuo)善(shan)做(zuo)好風險(xian)處(chu)置,通過盤活土(tu)地、出(chu)售股(gu)權等方(fang)式補充資(zi)金,積極主動與各方(fang)債(zhai)權人(ren)(ren)溝通協調,努力達(da)成(cheng)和解(jie)方(fang)案,同時要(yao)努力挽回市場(chang)(chang)信(xin)心,防止發(fa)生風險(xian)踩踏和外溢。對于(yu)已(yi)無力化解(jie)風險(xian)、確(que)需破(po)(po)產(chan)的(de),要(yao)督(du)促(cu)企業(ye)依(yi)法(fa)合規履行破(po)(po)產(chan)程序,強化信(xin)息披露管(guan)理(li),及時、準確(que)披露股(gu)東(dong)或(huo)實(shi)際控制人(ren)(ren)變更、資(zi)產(chan)劃轉(zhuan)、新增大額債(zhai)務等重大事(shi)項,保障債(zhai)權人(ren)(ren)、投資(zi)人(ren)(ren)合法(fa)利益。

  《指(zhi)導意見》強調,要(yao)規(gui)范債務資(zi)(zi)金(jin)用途,確保投入主業(ye)實業(ye)。各(ge)地(di)方國資(zi)(zi)委(wei)要(yao)加(jia)強地(di)方國有企業(ye)債務融資(zi)(zi)資(zi)(zi)金(jin)用途管(guan)控,督促企業(ye)將籌集(ji)的資(zi)(zi)金(jin)及時高(gao)效投放到(dao)戰略安全、產業(ye)引領(ling)、國計民(min)生、公共服務等關鍵領(ling)域和重要(yao)行(xing)業(ye),原則(ze)上要(yao)確保投資(zi)(zi)項目的回報率高(gao)于資(zi)(zi)金(jin)成本,切(qie)實發揮資(zi)(zi)本市場服務實體經濟(ji)的功能(neng)作(zuo)用。督促企業(ye)嚴(yan)格執行(xing)國家金(jin)融監管(guan)政策,按照融資(zi)(zi)協議約定的用途安排(pai)資(zi)(zi)金(jin),突出(chu)主業(ye)、聚(ju)焦(jiao)實業(ye),嚴(yan)禁過度融資(zi)(zi)形成資(zi)(zi)金(jin)無效淤積,嚴(yan)禁資(zi)(zi)金(jin)空(kong)轉、脫實向虛,嚴(yan)禁挪用資(zi)(zi)金(jin)、違(wei)規(gui)套(tao)利。探索(suo)對企業(ye)重大資(zi)(zi)金(jin)支出(chu)開展動態監控,有效防范資(zi)(zi)金(jin)使(shi)用風(feng)險。

  《指(zhi)導(dao)意見》還提出(chu),要(yao)(yao)全面推(tui)動(dong)(dong)國(guo)(guo)企(qi)(qi)深化(hua)改革,有(you)效增強(qiang)抗(kang)(kang)風(feng)險能力(li)(li)。各地(di)方國(guo)(guo)資(zi)委督促(cu)指(zhi)導(dao)企(qi)(qi)業(ye)(ye)(ye)通過(guo)全面深化(hua)改革破解(jie)風(feng)險難(nan)題。通過(guo)加(jia)強(qiang)“兩金(jin)”管控(kong)、虧(kui)損企(qi)(qi)業(ye)(ye)(ye)治(zhi)理、低(di)(di)效無效資(zi)產處(chu)置、非主業(ye)(ye)(ye)非優勢企(qi)(qi)業(ye)(ye)(ye)(業(ye)(ye)(ye)務)剝離等措施,提高企(qi)(qi)業(ye)(ye)(ye)資(zi)產質量和(he)(he)運行效率。嚴控(kong)低(di)(di)毛(mao)利貿(mao)易、金(jin)融衍生、PPP等高風(feng)險業(ye)(ye)(ye)務,嚴禁融資(zi)性貿(mao)易和(he)(he)“空轉(zhuan)”“走(zou)單”等虛假貿(mao)易業(ye)(ye)(ye)務,管住生產經(jing)營重(zhong)大(da)風(feng)險點(dian)。加(jia)快(kuai)推(tui)進國(guo)(guo)有(you)經(jing)濟布(bu)局優化(hua)和(he)(he)結構(gou)調整,加(jia)速(su)數字化(hua)、網絡(luo)化(hua)、智能化(hua)轉(zhuan)型(xing)升級,加(jia)快(kuai)發(fa)展新(xin)(xin)技術、新(xin)(xin)模式、新(xin)(xin)業(ye)(ye)(ye)態,不斷(duan)增強(qiang)自主創新(xin)(xin)能力(li)(li)、市場核心競爭力(li)(li)和(he)(he)抗(kang)(kang)風(feng)險能力(li)(li)。同時,要(yao)(yao)發(fa)揮(hui)監管合力(li)(li),完善(shan)國(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)債務風(feng)險管控(kong)工(gong)(gong)作(zuo)體(ti)系。加(jia)強(qiang)與當地(di)人(ren)民銀行分支機(ji)構(gou)和(he)(he)證監局等部(bu)門的合作(zuo),推(tui)動(dong)(dong)債務風(feng)險信(xin)息(xi)共享,共同預警(jing)防范企(qi)(qi)業(ye)(ye)(ye)重(zhong)大(da)債務風(feng)險。國(guo)(guo)務院國(guo)(guo)資(zi)委將(jiang)按照推(tui)動(dong)(dong)構(gou)建(jian)(jian)國(guo)(guo)資(zi)監管大(da)格局的要(yao)(yao)求,督促(cu)指(zhi)導(dao)地(di)方加(jia)強(qiang)地(di)方國(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)債務風(feng)險管控(kong),加(jia)快(kuai)建(jian)(jian)立(li)工(gong)(gong)作(zuo)聯系機(ji)制(zhi)、日常監測機(ji)制(zhi)、風(feng)險評估指(zhi)導(dao)機(ji)制(zhi)和(he)(he)重(zhong)大(da)風(feng)險報告機(ji)制(zhi)。
